How we work

II. 세부 원칙별 이행계획
원칙 1
기관투자자는 고객, 수익자 등 타인 자산을 관리ㆍ운영하는 수탁자로서 책임을 충실히 이행하기 위한 명확한 정책을 마련해 공개해야 한다.
- 당사는 위탁자로부터 부여받은 책임을 충실히 이행하기 위하여 선관주의 의무를 다하고 있으며, 관계법령과 정관 및 규약에 따라 수탁자 책임을 수행하고자 합니다.
- 책임을 이행하는 과정에서 직면하거나 직면 가능성이 있는 이해상충 문제의 경우 이에 대한 방지 제도를 통해 발생을 최소화 하고, 발생 가능성이 있는 경우 사전통지의 절차를 거칠 예정입니다.
- 또한 투자대상회사의 중장기적 가치제고를 위해 주기적으로 현황파악과 현안을 점검하고, 투자대상회사와의 공감대 형성을 지향하도록 하겠습니다.
- 충실한 의결권 행사를 위한 지침ㆍ절차ㆍ세부기준을 포함한 의결권 정책을 수립하며, 의결권 행사와 수탁자 책임 이행 활동을 고객과 수익자에게 주기적으로 보고할 예정입니다.
- 당사는 수탁자 책임의 적극적이고 효과적인 이행을 위해 필요한 역량과 전문성을 갖추도록 하겠습니다.

기관투자자는 수탁자로서 책임을 이행하는 과정에서 실제 직면하거나 직면할 가능성이 있는 이해상충 문제를 어떻게 해결할지에 관해 효과적이고 명확한 정책을 마련하고 내용을 공개해야 한다.
- 당사는 수탁자로서 책임을 이행하는 과정에서 발생가능성이 있는 이해상충문제를 해결하기 위한 정책을 마련하고 이를 준수하겠습니다.
- 당사는 이해상충방지제도를 통해 투자자간, 펀드간, 임직원간의 이해상충 발생을 방지하고, 이해상충 가능성이 있는 경우 그 사실을 사전에 관련자에게 공지하여 발생가능성을 낮추고 있습니다.
원칙 3
기관투자자는 투자대상회사의 중장기적인 가치를 제고하여 투자자산의 가치를 보존하고 높일 수 있도록 투자 대상 회사를 주기적으로 점검해야 한다.
- 당사는 투자대상회사의 중장기적 가치제고를 위해 주기적으로 현황파악과 현안을 점검하는 원칙을 준수하겠습니다.
- 당사는 투자대상회사의 가치제고와 지속적인 성장을 도모하기 위하여 월별로 방문하고 현안에 대한 이슈를 의논하고 있으며, 분기별로 전사 포트폴리오 보고회를 통해 투자대상회사의 상황에 대한 점검을 시행하고 있습니다.
- 당사 투자담당 인력을 투자대상회사의 이사로 등재시켜 실시간 모니터링 및 주요 의사결정에의 참여를 유도하고 있으며, 투자대상회사의 성장을 위하여 경영코칭, 영업네트워크, 인력보강, 재무구조 개선 등 가치제고 전략을 제시하고 있습니다.
원칙 4
기관투자자는 투자대상회사와의 공감대 형성을 지향하되, 필요한 경우 수탁자 책임 이행을 위한 활동 전개 시기와 절차, 방법에 관한 내부지침을 마련해야 한다.
- 당사는 투자기업과 협조하고, 수탁자 책임 이행을 위한 활동 전개 시기와 절차, 방법에 관한 내부지침 마련 원칙을 준수하겠습니다.
- 당사는 투자대상회사의 중장기 가치제고를 지향하고 있으며, 주요 재무∙비재무 경영사항에 관해 투자기업과 공감대를 형성하고자 노력하고 있습니다.
- 당사는 적극적인 주주활동 과정에서 미공개 중요 정보의 이용 금지에 관한 자본시장법상 규정을 준수하고 있으며, 특히 회사가치에 중대한 영향을 끼치는 내부정보를 이용해 정보우위를 기반으로 거래상 이득을 취하지 않겠습니다.
원칙 5
기관투자자는 충실한 의결권 행사를 위한 지침ㆍ절차ㆍ세부기준을 포함한 의결권 정책을 마련해 공개해야 하며, 의결권 행사의 적정성을 파악할 수 있도록 의결권 행사의 구체적인 내용과 그 사유를 함께 공개해야 한다.
- 당사는 의결권 행사를 위한 지침ㆍ절차ㆍ세부기준을 포함한 의결권 정책을 준수하겠습니다.
- 당사는 투자대상기업 보유주식 전부에 대해 직접 의결권을 행사하도록 노력하고 있으며, 의사결정의 다양한 변수를 고려하여 원칙을 지키는 범위에서 상황과 여건에 따라 적절하게 대응하고 있습니다.
- 당사는 의결권 행사를 위해 충분한 정보수집과 분석, 그리고 안건에 대한 심도있는 검토를 통하여 찬반여부를 결정하고 있으며, 그 과정에서 필요한 경우 해당회사와 사전 논의를 거치고 있습니다.

기관투자자는 의결권 행사와 수탁자 책임 이행 활동에 관해 고객과 수익자에게 주기적으로 보고해야 한다.
- 당사는 의결권 행사와 수탁자 책임 이행 활동에 보고하는 원칙을 준수하겠습니다.
- 당사는 투자대상회사의 현황과 사후관리 사항에 대한 내용을 포함한 수탁자로서의 책임이행 활동을 분기별로 작성하고 있으며, 매년 3월과 8월, 연 2회에 걸쳐 조합원총회를 개최하며, 매월 펀드운용상황에 대한 보고를 시행하고 있습니다.

기관투자자는 수탁자 책임의 적극적이고 효과적인 이행을 위해 필요한 역량과 전문성을 갖추어야 한다.
- 당사는 수탁자 책임의 적극적이고 효과적인 이행을 위한 역량 및 전문성 확보의 원칙을 준수하겠습니다.
- 당사의 투자 및 사후관리 담당 임직원에 대한 역량 강화와 전문성 향상을 위하여 적극적인 토론 문화를 정착하였으며 이와 관련된 교육을 실시하고, 관련된 외부 전문 교육 프로그램이나 세미나에의 참여를 독려하고 있습니다.
- 당사는 전문가 그룹 네트워크전문 기업인 GLG(Gerson Lehrman Group)를 통해 기술동향 파악과 기술개발 지원을 하고 있으며, 이러한 전문적인 자문서비스를 활용함으로써 수탁자 책임의 충실한 이행을 모도하고 있습니다.
